This statement on Schedule 13D relates to the shares (the Shares) of common stock, par value $0.01 per share (the Common Stock), of Cowen Group, Inc. (the Issuer). The principal executive office of the Issuer is located at 1221 Avenue of the Americas, New York, New York, 10020 |

This statement is filed by Kim S. Fennebresque (the Reporting Person). |

(b) |
The principal business address of the Reporting Person is 1221 Avenue of the Americas, New York, New York, 10020. |

The present principal occupation of the Reporting Person is serving as Chairman, Chief Executive Officer and President of the Issuer. |

(d) |
The Reporting Person has not, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors). |

The Reporting Person has not, during the last five years, been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction which resulted in a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violations with respect to such laws. |

Source and Amount of Funds or Other Consideration |

Pursuant to the employment agreement between the Issuer and the Reporting Person (the Employment Agreement), the Issuer granted the Reporting Person 975,000 shares of restricted common stock in connection with the initial public offering of the Issuers Common Stock. All shares of restricted Common Stock vest on December 31, 2010 provided that the Reporting Person is employed by the Issuer on December 31, 2010. The shares of restricted Common Stock will become fully vested prior to December 31, 2010 if the Reporting Persons employment terminates by reason of death or disability, if the Reporting Person is terminated by the Issuer without cause or if the Reporting Person terminates employment for good reason, as set forth more fully in the Employment Agreement. |

In connection with the initial public offering of the Issuers Common Stock, 1,000 shares of the Issuers Common Stock were purchased on behalf of the Reporting Persons daughter using the Reporting Persons personal funds. |

Purpose of Transaction |
|
|
The Reporting Person was issued 975,000 shares of restricted Common Stock for the purpose of compensating the Reporting Person for services rendered to the Issuer and its subsidiaries and as a means of retaining the Reporting Persons employment with the Issuer. The Reporting Persons daughter purchased 1,000 shares of Common Stock to hold as an investment. |

Interest in Securities of the Issuer |

(a) The aggregate percentage of Shares reported to be beneficially owned by the Reporting Person is based upon 15,000,000 shares of Common Stock outstanding, which is the total number of shares of Common Stock outstanding as reported in the Issuers prospectus, dated July 12, 2006, filed with the Securities and Exchange Commission pursuant to Rule 424(b)(1) of the Rules and Regulations under the Securities Act of 1933. |

As of the date of this filing, the Reporting Person may be deemed to beneficially own 976,000 shares of Common Stock, constituting approximately 6.51% of the shares of Common Stock outstanding. |

(b) The Reporting Person has sole voting power of the 975,000 shares of Common Stock granted to the Reporting Person pursuant to the Employment Agreement. The Reporting Person will have sole power to direct the disposition of the 975,000 shares following the vesting of those shares. The Reporting Person has shared voting and dispositive power of the 1,000 shares of Common Stock purchased by the Reporting Persons daughter. |

(c) Other than the acquisition of the shares reported herein, the Reporting Person has not effected any transactions in the Shares during the past 60 days. |

(d) With respect to the 975,000 shares of Common Stock granted to the Reporting Person pursuant to the Employment Agreement, no person other than the Reporting Person has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of such shares. With respect to the 1,000 shares of Common Stock purchased by the Reporting Persons daughter, no person other than the Reporting Person and the Reporting Persons daughter has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of such shares. |
